Terms of Service - Smart Sushi Chef

1. Who we are

These Terms of Service ("Terms") govern your use of the website www.smartsushichef.com (the "Site") and all related services, products, and content (the "Services") offered by:

We refer to ourselves as "Smart Sushi Chef," "SSC," "we," "us," or "our." We refer to you as "Customer," "you," or "your."

2. Acceptance of these Terms

By accessing the Site, placing an order, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Site or place an order.

These Terms apply to both consumer customers (individuals purchasing for personal use) and business customers ("B2B Customers"). Where consumer rights under EU and Czech law differ from B2B terms, the consumer rights apply only to consumer purchases.

3. Eligibility

You must be at least 18 years old to place an order on the Site. By placing an order, you confirm that you are 18 or older and have the legal capacity to enter into a binding contract.

4. Products

We sell professional and prosumer kitchen tools, knives, sushi-preparation equipment, and related accessories — including the patented Kappa Kanpeki product line designed and manufactured under our intellectual property. Some products are sold under B2B arrangements only, including Suzumo brand sushi-production equipment, for which we are an authorised EU distribution partner.

Product information. We make every reasonable effort to ensure that product descriptions, photographs, and specifications on the Site are accurate. However, minor variations in colour, finish, or appearance may occur. Photographs are illustrative and not contractually binding on exact appearance.

Availability. Listed products are subject to availability. We reserve the right to limit quantities, decline orders, or discontinue products at any time without prior notice.

5. Pricing and VAT

All prices on the Site are displayed in the local currency selected at checkout (typically EUR for EU customers, USD for US customers).

Consumer pricing includes applicable VAT under the EU One Stop Shop (OSS) scheme.
B2B pricing is exclusive of VAT; VAT is added at checkout based on the buyer's VAT status and country.

We reserve the right to correct pricing errors. If we discover a pricing error after you place an order, we will contact you and offer to either (a) honour the correct price, or (b) cancel the order and provide a full refund.

6. Orders and contract formation

When you place an order, you make an offer to purchase the products at the listed price. We will send an order confirmation by email — but the order confirmation alone does not form a binding contract.

A binding contract is formed only when we send a shipment confirmation indicating that the products have been dispatched. Until that moment, we may decline or cancel any order at our discretion, including for reasons of stock availability, suspected fraud, or pricing errors.

7. Payment

We accept the following payment methods:

  • Credit and debit cards (Visa, Mastercard, American Express) processed by Stripe
  • Apple Pay, Google Pay, and other supported wallets where available
  • Bank transfer / invoice payment for established B2B Customers

B2B payment terms for Suzumo equipment and other high-value B2B orders typically require 50% pre-payment when the order is placed and 50% before shipment. Specific terms are confirmed in writing on a per-order basis.

Net 30 invoice terms are available for established B2B Customers subject to credit approval.

8. Shipping and delivery

Our full Shipping Policy is available at /policies/shipping-policy and forms part of these Terms.

Risk of loss and ownership of the products passes to you upon delivery to the address you provided. We use Shipmonk as our 3PL partner; tracking information is sent by email when your order ships.

Delivery times are estimates, not guarantees. We are not liable for carrier delays, loss in transit by the carrier, or events outside our reasonable control. If your package is delayed beyond a reasonable period, please first contact the delivery carrier; if the carrier confirms loss or non-delivery, contact us and we will arrange a replacement or refund.

9. Right of withdrawal (consumer customers)

Under EU consumer law (Directive 2011/83/EU) and the Czech Civil Code, consumer customers in the EU have the right to withdraw from a purchase contract within 14 days of receiving the goods, without giving any reason. We voluntarily extend this period to 30 days as standard.

To exercise the right of withdrawal, email us at office@smartsushichef.com with your order number and your decision to withdraw. You must return the goods, unused and in original packaging where possible, at your own cost, within 14 days of notifying us.

We will refund the purchase price (including original outbound shipping cost up to the cost of standard shipping) within 14 days of receiving the returned goods or of receiving evidence that you have shipped them.

Exceptions to the right of withdrawal:

  • Goods made to order or customised to your specifications
  • Sealed hygiene-sensitive items (knives) once opened or used
  • B2B purchases (the right of withdrawal is a consumer right and does not apply to B2B contracts)

10. Warranty and product liability

Consumer customers in the EU benefit from a statutory 24-month warranty on goods, in line with the Czech Civil Code (§ 2161 et seq.) and EU Directive 2019/771. This covers manufacturing defects and goods that do not match the contract description.

Business customers receive a 12-month commercial warranty on Suzumo equipment and a 12-month warranty on other goods unless otherwise stated in writing. This warranty does not affect any non-waivable mandatory warranties under applicable law.

Warranty claims must be submitted in writing to office@smartsushichef.com with your order number, a description of the issue, and supporting photographs where applicable.

The warranty does not cover:

  • Damage caused by misuse, accident, or failure to follow care instructions
  • Normal wear and tear
  • Damage caused by unauthorised modification or repair
  • Consumable items past their normal useful life

11. Intellectual property

The Kappa Kanpeki product is the patented intellectual property of Smart Sushi Chef s.r.o., protected under EU and US patents and registered design rights. The "Smart Sushi Chef" name, logo, and the "Kappa Kanpeki" name and logo are our trademarks.

Unauthorised reproduction, manufacture, sale, or distribution of products that infringe our patents, designs, or trademarks is prohibited and will be enforced.

All content on the Site — including text, photography, graphics, and code — is owned by us or our licensors and is protected by copyright. You may not reproduce, copy, or use this content for commercial purposes without our written permission.

Suzumo brand names and trademarks are the property of Suzumo Machinery Co., Ltd. We sell Suzumo equipment under an authorised EU distribution arrangement.

12. Acceptable use of the Site

You agree not to:

  • Use the Site for any unlawful purpose
  • Attempt to gain unauthorised access to the Site, our systems, or other users' accounts
  • Use automated tools to scrape, copy, or harvest content from the Site
  • Submit false, misleading, or fraudulent information
  • Interfere with or disrupt the Services

We reserve the right to suspend or terminate your access to the Site for any breach of these Terms.

13. Limitation of liability

To the fullest extent permitted by law:

For consumer customers, our liability is not limited or excluded for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; (iii) any matter for which liability cannot be excluded under applicable law. For all other matters, our liability for any loss arising under or in connection with a contract with a consumer is limited to the price paid for the relevant goods.

For B2B Customers, our total aggregate liability for any claim arising under or in connection with these Terms or any contract with a B2B Customer shall not exceed the price paid for the relevant goods. We exclude all liability for indirect, consequential, or special losses, loss of profit, loss of business, or loss of opportunity.

14. Force majeure

We are not liable for any delay or failure to perform our obligations caused by events outside our reasonable control, including but not limited to: natural disasters, war, civil unrest, government action, pandemic, supplier failure, transport delays, or interruption of payment-processing or fulfillment systems.

15. Privacy

Our handling of your personal data is governed by our Privacy Policy at /policies/privacy-policy, which forms part of these Terms. We process personal data in compliance with the EU General Data Protection Regulation (GDPR) and the Czech Personal Data Processing Act.

16. Governing law and jurisdiction

These Terms are governed by the laws of the Czech Republic, without regard to conflict-of-law principles. The courts of the Czech Republic have exclusive jurisdiction to settle any dispute arising under these Terms, subject to mandatory consumer-protection rules that may grant a consumer the right to bring proceedings in the consumer's country of residence.

17. Consumer dispute resolution

In the event of a dispute that cannot be resolved directly with us, EU consumer customers have the right to use the EU Online Dispute Resolution (ODR) platform, available at: https://ec.europa.eu/consumers/odr

18. Changes to these Terms

We may update these Terms from time to time to reflect changes in our business, legal requirements, or for operational reasons. The "Last updated" date at the top will indicate when changes were made. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms. The version of the Terms in force at the time you place an order applies to that order.

19. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision is severable and does not affect the validity and enforceability of the remaining provisions.
